These Terms of Service ("Terms") govern your access to and use of the Mononio AI platform and related services (the "Service") provided by Mononio AI Corporation ("Mononio AI," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. The Service

Mononio AI is an autonomous marketing platform that generates, deploys, analyzes, and optimizes advertising campaigns on your behalf across connected advertising platforms (such as Google Ads and Meta Ads), and that produces related creative assets. The Service may evolve over time, and features may be added, modified, or removed.

2. Eligibility and Accounts

You must be at least 18 years old and able to form a binding contract to use the Service.
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
You agree to provide accurate information and to keep it up to date.

3. Connected Advertising Accounts

The Service allows you to connect third-party advertising accounts through OAuth. By connecting an account, you authorize Mononio AI to access and take actions within that account as necessary to provide the Service, including creating, deploying, pausing, and optimizing campaigns and reading performance data.

You remain the account owner and the advertiser of record. You are responsible for the budgets you authorize, the spend incurred on connected platforms, and compliance with each platform's own terms and advertising policies.

4. Acceptable Use

You agree not to use the Service to:

Violate any applicable law, regulation, or third-party rights.
Promote content that is illegal, deceptive, infringing, or that violates the advertising policies of connected platforms.
Attempt to gain unauthorized access to the Service, other accounts, or our systems.
Interfere with or disrupt the integrity or performance of the Service.
Reverse engineer, resell, or misuse the Service except as expressly permitted.

5. AI-Generated Content

The Service uses artificial intelligence to generate marketing content, including ad copy, images, and video. You are responsible for reviewing and approving generated content before it is deployed. AI-generated output may contain inaccuracies, and you should verify it for accuracy, legality, and suitability for your brand before use.

6. Your Content and License

You retain ownership of the content, brand materials, and data you provide ("Your Content"). You grant us a limited, non-exclusive license to use, process, and display Your Content solely to operate and provide the Service to you. We claim no ownership over Your Content.

7. Fees

To the extent the Service includes paid features, applicable fees, billing terms, and refund policies will be presented to you at the point of purchase. Advertising spend on connected platforms is billed by those platforms directly and is separate from any Mononio AI fees.

8. Third-Party Services

The Service integrates with third-party platforms and providers. Your use of those services is governed by their respective terms and policies, and we are not responsible for their availability, accuracy, or actions.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or that it will achieve any particular marketing result.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MONONIO AI AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR ADVERTISING SPEND, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. Our aggregate liability will not exceed the amounts you paid to us for the Service in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Mononio AI from any claims, damages, liabilities, and expenses arising from your use of the Service, Your Content, or your violation of these Terms or applicable law.

12. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms or if necessary to protect the Service or other users. Upon termination, your right to use the Service ceases, and certain provisions survive as required by their nature.

13. Governing Law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law principles. Disputes will be subject to the exclusive jurisdiction of the competent courts located in Delaware, USA.

14. Changes to These Terms

We may modify these Terms from time to time. We will post the updated version with a revised "Last updated" date, and your continued use of the Service after changes take effect constitutes acceptance.
